Terms and Conditions — Whatzify.com
These Terms and Conditions (“Terms”) govern your access to and use of the website Whatzify.com, including its dashboard, application programming interfaces, integrations, automation features, messaging tools, software, and related services.
The Whatzify.com platform is owned and operated by Arinine (“Arinine,” “Whatzify,” “we,” “us,” or “our”). The website, software, and related services are collectively referred to in these Terms as the “Service.”
By creating an account, purchasing a subscription, accessing the Service, or otherwise using any part of the Service, you confirm that you have read, understood, and agreed to be legally bound by these Terms.
If you do not agree to these Terms, you must not access or use the Service.
1. Eligibility and Authority
You may access and use the Service only if:
- You are at least 18 years of age;
- You have the legal capacity to enter into a binding agreement;
- You are not prohibited from using the Service under any applicable law; and
- Where you use the Service on behalf of a company, partnership, organisation, or other legal entity, you have the authority to bind that entity to these Terms.
References to “you” or “your” include both the individual using the Service and the business or organisation on whose behalf the Service is being used.
2. Account Creation and Registration
You may be required to create an account to access certain features of the Service.
When creating and maintaining your account, you agree to:
- Provide accurate, complete, and current registration information;
- Keep your account, business, billing, and contact information updated;
- Maintain the confidentiality of your username, password, authentication credentials, API keys, access tokens, and other security information;
- Restrict access to your account to authorised personnel only;
- Accept responsibility for all activities, messages, campaigns, API requests, integrations, and transactions performed through your account; and
- Notify Arinine immediately if you suspect unauthorised access, credential theft, a security breach, or misuse of your account.
You must not share your account credentials with unauthorised persons or allow another business or organisation to use your account unless such access is expressly permitted under your subscription plan or a written agreement with Arinine.
Arinine will not be responsible for any loss, damage, data exposure, unauthorised transaction, or other consequence resulting from your failure to maintain the security of your account, devices, credentials, integrations, or API keys.
3. Limited Right to Use the Service
Subject to your compliance with these Terms and payment of all applicable fees, Arinine grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Service for your lawful internal business purposes.
You must not:
- Copy, reproduce, distribute, sell, lease, sublicense, or commercially exploit any part of the Service except as expressly authorised;
- Modify, reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Service, except where such restriction is prohibited by applicable law;
- Circumvent subscription limits, usage limits, access controls, security systems, or technical restrictions;
- Interfere with or disrupt the operation, integrity, security, or performance of the Service;
- Introduce malware, viruses, malicious scripts, harmful code, or automated attacks;
- Access another user’s account, data, contacts, messages, or information without authorisation;
- Scrape, extract, harvest, or collect information from the Service through unauthorised automated means;
- Use the Service for benchmarking or competitive analysis without prior written permission;
- Resell or commercially redistribute access to the Service unless authorised under a written reseller or partner agreement; or
- Use the Service to create a competing product by copying Whatzify’s protected software, features, interfaces, workflows, designs, documentation, or business processes.
4. WhatsApp Business Platform and Third-Party Services
The Service may integrate with or depend upon services operated by third parties, including:
- Meta Platforms, Inc.;
- The WhatsApp Business Platform;
- Cloud infrastructure providers;
- Telecommunications providers;
- Payment processors;
- Internet service providers;
- Customer relationship management platforms; and
- Other third-party applications, APIs, and services.
Your use of such third-party services may be governed by separate terms, policies, pricing structures, technical requirements, and eligibility conditions imposed by the relevant third party.
You acknowledge that Arinine does not control and cannot guarantee:
- Approval or continued availability of your WhatsApp Business Account;
- Approval of your business display name;
- Approval, classification, or continued availability of message templates;
- Assignment or retention of any verified status, badge, quality rating, or messaging limit;
- Message acceptance, transmission, delivery, timing, receipt, or reading;
- The availability or performance of Meta’s systems, telecommunications networks, or other third-party infrastructure;
- Changes to third-party APIs, policies, pricing, technical requirements, functionality, or service availability; or
- The reversal of any restriction, suspension, rejection, or termination imposed by Meta, WhatsApp, a telecommunications provider, or another third party.
Changes, interruptions, restrictions, suspensions, or discontinuation affecting a third-party service may result in corresponding changes to or interruptions in the Service.
Arinine will not be liable for any delay, interruption, failure, suspension, restriction, or loss caused by third-party systems or services outside its reasonable control.
5. Compliance with Meta and WhatsApp Policies
You must comply with all policies, terms, guidelines, technical requirements, and restrictions applicable to your use of the WhatsApp Business Platform.
These may include, without limitation:
- WhatsApp Business Terms;
- WhatsApp Business Messaging Policy;
- Meta Commerce Policy;
- WhatsApp message-template requirements;
- Message-category requirements;
- Consent and opt-in requirements;
- Quality-rating and messaging-limit requirements;
- Applicable technical documentation;
- API usage restrictions; and
- Any additional policies or instructions communicated by Meta, WhatsApp, or Arinine.
You must not use the Service to:
- Send spam, unsolicited messages, or unauthorised bulk communications;
- Contact individuals who have not provided the required consent;
- Send misleading, deceptive, fraudulent, threatening, discriminatory, hateful, harassing, defamatory, obscene, or unlawful content;
- Facilitate phishing, impersonation, financial fraud, identity theft, or other deceptive activity;
- Promote or facilitate products, services, or activities prohibited or restricted by Meta, WhatsApp, Arinine, or applicable law;
- Infringe intellectual-property, privacy, publicity, consumer, contractual, or other third-party rights;
- Distribute malware, malicious software, harmful files, or deceptive links;
- Circumvent message-template rules, message categories, rate limits, quality ratings, messaging limits, or account restrictions;
- Use contact lists obtained through scraping, purchasing, renting, or other unauthorised methods;
- Misrepresent your identity, business, products, services, or relationship with Arinine, Whatzify, Meta, or WhatsApp; or
- Engage in conduct that may expose Arinine, Whatzify, Meta, WhatsApp, or another person to legal, regulatory, security, financial, operational, or reputational risk.
Arinine may immediately suspend, restrict, or terminate your account where it reasonably believes that your use of the Service violates these Terms, third-party policies, applicable law, or creates a material risk.
6. User Consent, Opt-In, and Opt-Out Obligations
You are solely responsible for ensuring that every individual you contact through the Service has provided all consent required under applicable law and WhatsApp policies.
You agree to:
- Obtain valid consent before initiating communications;
- Clearly identify the business or organisation on whose behalf messages will be sent;
- Clearly explain the types or categories of communications the recipient may receive;
- Maintain adequate records showing when, where, and how consent was obtained;
- Provide recipients with a clear and accessible method to withdraw consent or opt out;
- Promptly honour all unsubscribe, stop, block, and opt-out requests;
- Avoid purchasing, renting, scraping, or otherwise using contact lists where valid consent cannot be demonstrated;
- Ensure that your consent collection methods comply with applicable advertising, telecommunications, consumer-protection, privacy, and data-protection laws; and
- Provide evidence of consent to Arinine where reasonably requested for compliance, audit, complaint-handling, or investigation purposes.
The import, upload, or storage of a telephone number or contact record in your account does not by itself establish that valid consent has been obtained.
You remain fully responsible for all complaints, penalties, investigations, legal proceedings, account restrictions, or other consequences arising from messages sent without valid consent.
7. Customer Content and Data Responsibilities
“Customer Content” means all information submitted, uploaded, stored, transmitted, processed, or generated through your account, including:
- Contact details;
- Telephone numbers;
- Message content;
- Message templates;
- Images, videos, documents, and other media;
- Campaign information;
- Chatbot instructions and responses;
- Integration data;
- API data;
- Customer records; and
- Other information supplied by you or your authorised users.
You retain ownership of your Customer Content.
You grant Arinine a limited, non-exclusive right to host, store, reproduce, transmit, process, modify where technically required, and otherwise use Customer Content only to the extent reasonably necessary to:
- Provide and maintain the Service;
- Process messages and workflows requested by you;
- Operate integrations;
- Prevent fraud, abuse, and security incidents;
- Provide technical and customer support;
- Investigate complaints or policy violations;
- Comply with legal and regulatory obligations; and
- Enforce these Terms.
You represent and warrant that:
- You have all rights, permissions, notices, consents, and lawful grounds required to collect, upload, store, process, and communicate Customer Content;
- Your Customer Content does not infringe any third-party rights;
- Your collection and use of personal information complies with applicable privacy and data-protection laws;
- You maintain an appropriate privacy policy or privacy notice for your customers and message recipients;
- You do not upload data that you are prohibited from processing; and
- You will not use the Service to unlawfully process sensitive or confidential information.
You are responsible for reviewing your Customer Content, maintaining necessary records, and retaining independent backups or exports where appropriate.
The Service must not be treated as your sole archival, record-keeping, or backup system unless expressly agreed in a separate written agreement with Arinine.
Arinine’s handling of personal information may also be governed by a separate Privacy Policy published on Whatzify.com.
8. Subscription Fees and Billing
Certain features of the Service may require a paid monthly, annual, enterprise, usage-based, or customised subscription.
By purchasing or activating a paid subscription, you agree to:
- Pay the subscription fees displayed on Whatzify.com, shown at checkout, included in an order form, or stated in a separate commercial agreement;
- Provide valid, complete, and current billing information;
- Authorise Arinine or its payment processor to collect applicable charges;
- Pay charges incurred by authorised users operating through your account;
- Pay any additional usage-based charges applicable to your account; and
- Pay all applicable taxes, duties, levies, or government charges.
Where a subscription is identified as recurring or automatically renewing, the subscription will renew for the applicable billing period unless cancelled in accordance with the cancellation procedure communicated at the time of purchase.
Arinine may suspend or restrict access to paid features where:
- Payment is declined;
- Payment is reversed;
- An invoice remains overdue;
- A charge is disputed without valid grounds;
- Your payment method expires or becomes invalid; or
- Any applicable amount remains unpaid.
Unless otherwise stated in an order form, written agreement, or published refund policy, subscription payments are non-refundable to the maximum extent permitted by applicable law.
Any approved refund or cancellation adjustment will be governed by the refund and cancellation terms applicable at the time of purchase.
9. Meta Messaging and Other Usage Charges
Charges imposed by Meta, WhatsApp, telecommunications providers, cloud providers, or other third parties are separate from Whatzify’s software-subscription fees unless a subscription plan or written order expressly states otherwise.
Meta may impose charges based on its then-current WhatsApp Business Platform pricing model, which may take into account factors such as:
- Message category;
- Recipient country or market;
- Message type;
- Message volume;
- Conversation or service windows;
- Template classification;
- Applicable free allowances;
- Volume-based pricing tiers; and
- Other pricing criteria determined by Meta.
You are responsible for:
- Maintaining sufficient balance, credit, or an approved billing arrangement for applicable third-party charges;
- Monitoring your messaging and platform usage;
- Reviewing Meta’s current pricing and message-category requirements;
- Paying all messaging, calling, template, telecommunications, or other third-party usage charges attributable to your account; and
- Paying applicable taxes associated with those charges.
Meta and other third parties may change their pricing, message categories, free allowances, volume tiers, billing methods, or technical requirements at any time.
Such third-party changes may be passed through to you and will not be considered a change to Whatzify’s independent software-subscription fees.
Arinine is not responsible for any increase, modification, or error in fees imposed by Meta or another third party.
10. Taxes
Prices displayed on Whatzify.com may be exclusive of taxes unless expressly stated otherwise.
You are responsible for paying all applicable taxes, including:
- Goods and Services Tax;
- Value-added tax;
- Sales tax;
- Withholding tax;
- Duties;
- Levies; and
- Similar governmental charges.
This does not include taxes imposed directly on Arinine’s net income.
Where required by law, Arinine may calculate and collect applicable taxes based on the billing, registration, location, or business information associated with your account.
You are responsible for providing accurate tax-registration and billing information.
11. Service Availability and Modifications
Arinine may perform maintenance, updates, repairs, security changes, infrastructure modifications, migrations, and feature improvements that may temporarily affect the Service.
Unless a separate written service-level agreement applies, Arinine does not guarantee:
- Continuous or uninterrupted availability;
- Any specific percentage of uptime;
- Error-free operation;
- A particular network or processing speed;
- Successful delivery of every message;
- Approval of every message or template;
- Compatibility with every device, browser, application, integration, or third-party system;
- Continuous availability of any specific feature; or
- Any particular business, marketing, revenue, conversion, or operational result.
Arinine may add, modify, replace, suspend, restrict, or discontinue features where reasonably necessary for:
- Product development;
- Security;
- Legal or regulatory compliance;
- Third-party compatibility;
- Infrastructure changes;
- Prevention of fraud or misuse; or
- Operational requirements.
Arinine will use reasonable efforts to communicate material changes where appropriate, but it is not required to provide advance notice for emergency, security, legal, or third-party-required changes.
12. Intellectual Property Rights
The Service, including its software, source code, object code, dashboards, interfaces, workflows, designs, graphics, databases, documentation, trademarks, service marks, logos, branding, and other proprietary materials, is owned by or licensed to Arinine.
These materials are protected by applicable intellectual-property laws.
Except for the limited right to use the Service granted under these Terms, no ownership or intellectual-property rights are transferred to you.
You may not use the names “Arinine,” “Whatzify,” or “Whatzify.com,” or any associated logo, trademark, branding, or design, without prior written authorisation.
Where you voluntarily provide suggestions, comments, ideas, recommendations, or feedback regarding the Service, you grant Arinine a worldwide, perpetual, irrevocable, royalty-free right to use, modify, implement, reproduce, and commercialise that feedback without restriction or payment.
Arinine will not publicly identify you as the source of feedback without your permission unless required by law.
13. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Service is provided on an “AS IS” and “AS AVAILABLE” basis.
Arinine disclaims all express, implied, statutory, and other warranties, including warranties relating to:
- Merchantability;
- Fitness for a particular purpose;
- Title;
- Non-infringement;
- Accuracy;
- Availability;
- Security;
- Compatibility; and
- Uninterrupted operation.
Arinine does not warrant that:
- The Service will always be available, secure, accurate, complete, or error-free;
- Every message will be approved, transmitted, delivered, read, or acted upon;
- Third-party services will remain available or unchanged;
- Your WhatsApp Business Account, templates, display name, quality rating, messaging limits, or verification status will be approved or retained;
- The Service will satisfy every legal, regulatory, technical, or compliance requirement applicable to your business;
- All defects or errors will be corrected;
- The Service will be free from harmful components introduced by third parties; or
- Use of the Service will produce any specific financial, marketing, operational, or commercial result.
Nothing in these Terms excludes a warranty, statutory right, or legal remedy that cannot lawfully be excluded.
14. Limitation of Liability
To the maximum extent permitted by applicable law, Arinine and its owners, directors, officers, employees, contractors, representatives, affiliates, suppliers, and partners will not be liable for any:
- Indirect loss;
- Incidental loss;
- Special loss;
- Exemplary loss;
- Punitive loss;
- Consequential loss;
- Loss of profits;
- Loss of revenue;
- Loss of contracts;
- Loss of customers;
- Loss of business opportunities;
- Loss of goodwill or reputation;
- Loss, corruption, alteration, deletion, or unauthorised disclosure of data;
- Failed, delayed, rejected, miscategorised, or undelivered messages;
- Suspension, restriction, or termination imposed by Meta, WhatsApp, a payment provider, telecommunications provider, or another third party; or
- Business interruption resulting from your use of or inability to access the Service.
To the maximum extent permitted by applicable law, Arinine’s total aggregate liability arising from or relating to the Service or these Terms will not exceed the total subscription fees actually paid by you directly to Arinine during the 12 months immediately preceding the event giving rise to the claim.
Third-party charges, including charges paid to or collected on behalf of Meta, WhatsApp, payment processors, or telecommunications providers, will not be included when calculating this liability limit.
This limitation does not apply to liability that cannot lawfully be limited or excluded.
15. Indemnification
You agree to defend, indemnify, and hold harmless Arinine and its owners, directors, officers, employees, contractors, representatives, affiliates, suppliers, and partners from claims, demands, proceedings, investigations, penalties, damages, losses, costs, liabilities, and reasonable legal expenses arising out of or relating to:
- Your access to or use of the Service;
- Your misuse of the Service;
- Your Customer Content;
- Messages, campaigns, templates, or communications sent through your account;
- Your failure to obtain or document valid recipient consent;
- Your failure to honour an opt-out or unsubscribe request;
- Your breach of these Terms;
- Your violation of Meta, WhatsApp, or other third-party policies;
- Your violation of applicable law;
- Your infringement of another person’s intellectual-property, privacy, consumer, publicity, contractual, or other rights;
- Misleading, unlawful, fraudulent, or unauthorised content sent through your account; or
- Use of the Service by your employees, contractors, agents, customers, or authorised users.
Arinine may assume control of the defence of a claim covered by this section. You agree to provide reasonable cooperation in connection with such defence.
16. Suspension and Termination
Arinine may suspend, restrict, or terminate your access to all or part of the Service where:
- You breach these Terms;
- Required fees remain unpaid;
- Your payment method is invalid or payment is reversed;
- Your use creates a security, fraud, legal, regulatory, financial, operational, or reputational risk;
- Your activities generate significant complaints, blocks, reports, spam indicators, or negative quality signals;
- Meta, WhatsApp, a court, regulator, law-enforcement authority, telecommunications provider, or another authorised third party requires or requests action;
- A connected third-party account or service is suspended, restricted, or terminated;
- Your account appears to have been compromised;
- Information provided by you is false, misleading, incomplete, or outdated;
- You attempt to bypass restrictions or technical safeguards; or
- Suspension is reasonably necessary to protect the Service, Arinine, users, message recipients, or third parties.
Where reasonably practicable, Arinine may provide notice and an opportunity to correct the issue.
However, Arinine may take immediate action without prior notice where required by law, a third-party platform, security concerns, payment risk, regulatory requirements, or the seriousness of the violation.
You may stop using the Service or cancel your subscription through the available account-management or support process, subject to applicable billing commitments and cancellation terms.
Upon termination:
- Your right to access and use the Service will cease;
- Outstanding amounts will remain payable;
- Your data will be handled according to the applicable Privacy Policy and data-retention practices;
- Arinine may retain information where required for legal, regulatory, security, fraud-prevention, or accounting purposes; and
- Provisions that by their nature should survive termination will continue to apply.
Surviving provisions include payment obligations, intellectual-property rights, disclaimers, limitations of liability, indemnification, dispute provisions, and any other terms intended to continue after termination.
17. Changes to These Terms
Arinine may update these Terms to reflect changes in:
- The Service;
- Subscription or pricing structures;
- Applicable law;
- Security requirements;
- Business operations;
- Meta or WhatsApp policies;
- Third-party services; or
- Regulatory requirements.
Updated Terms may be published on Whatzify.com or made available through the account dashboard.
Where required by applicable law or reasonably appropriate, Arinine may also provide notice by email or through the Service.
Updated Terms will apply from the effective date stated in the revised version.
Your continued access to or use of the Service after the revised Terms become effective constitutes acceptance of the updated Terms.
If you do not agree to the revised Terms, you must stop using the Service and cancel your account or subscription.
18. Force Majeure
Arinine will not be liable for any delay, interruption, suspension, or failure caused by circumstances beyond its reasonable control.
Such circumstances may include:
- Natural disasters;
- Fire or flood;
- Epidemics or pandemics;
- War, terrorism, or civil unrest;
- Labour disputes;
- Power outages;
- Internet or telecommunications failures;
- Cyberattacks;
- Government or regulatory action;
- Court orders;
- Cloud-service failures;
- Payment-processing failures;
- Changes to third-party APIs;
- Interruption of Meta or WhatsApp infrastructure; or
- Other events that Arinine could not reasonably prevent or control.
19. Governing Law and Jurisdiction
These Terms will be governed by and interpreted in accordance with the laws of India, without regard to conflict-of-law principles.
Before commencing formal legal proceedings, the parties should make reasonable efforts to resolve the dispute through good-faith discussions.
Subject to any mandatory statutory or consumer rights, the courts located in Mumbai, Maharashtra, India will have exclusive jurisdiction over disputes arising from or relating to these Terms or the Service.
20. General Provisions
These Terms, together with the applicable Privacy Policy, subscription details, order form, refund policy, and any additional written agreement between you and Arinine, constitute the entire agreement concerning the Service.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will continue in effect.
Failure by Arinine to enforce a provision of these Terms will not constitute a waiver of that provision or any other right.
You may not assign or transfer your rights or obligations under these Terms without Arinine’s prior written consent.
Arinine may assign or transfer these Terms as part of:
- A merger;
- A restructuring;
- An acquisition;
- A financing transaction;
- A sale of assets;
- A transfer of the Whatzify platform; or
- Another legitimate business transaction.
Nothing in these Terms creates a partnership, employment relationship, joint venture, franchise, fiduciary relationship, or agency relationship between you and Arinine.
Headings are included for convenience only and will not affect the interpretation of these Terms.
